1. Overview and acceptance
These Terms govern access to and use of the Wesend.chat website, dashboards, automations, integrations, APIs, customer support and related services (together, the “Service”).
By creating an account, starting a trial, connecting a social or payment account, clicking to accept these Terms, or using the Service, you enter into a binding agreement with WESEND LTD (“Wesend”, “we”, “us”, “our”).
Key definitions:
- AI Features: Any feature that uses machine learning or generative AI to create or automate content.
- Connected Platform: Any third-party platform you connect to the Service, including but not limited to Meta / Instagram.
- Customer Content: Data, prompts, messages, and other material processed through the Service.
2. Eligibility and account setup
You must be at least 18 years old to create an account or buy a paid plan. You must provide accurate registration and billing information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
3. Plans, billing, trials and taxes
Paid plans, prices, usage caps, and renewal frequency are shown at checkout. Unless expressly stated otherwise, subscriptions renew automatically for the same billing cycle until cancelled. If you start a free trial, your account will be charged at the end of the trial unless cancelled beforehand.
You are responsible for VAT, sales tax, GST or similar taxes applicable to your purchase. Except where mandatory law provides otherwise, fees paid for an active billing period are non-refundable.
4. Payment providers
Wesend currently uses Stripe for subscription and payment processing and may change payment processors from time to time. Your payment is subject to the terms and privacy notices of the relevant payment provider.
5. Connected platform accounts and Platform Compliance
The Service depends on third-party platforms, specifically Meta / Instagram APIs, permissions, and messaging rules. You authorise Wesend to access, display, transmit, and process data from any Connected Platform you choose to link, to the extent necessary to provide the Service.
Platform Compliance: You are solely responsible for ensuring that your use of the Service complies with the terms, policies, developer requirements and messaging rules of any Connected Platform, including Meta Platforms. Wesend is not responsible for account restrictions, API limitations, permission revocations, feature removals, or enforcement actions taken by any Connected Platform as a result of your activities or Customer Content.
6. AI Features
Some features may use third-party AI providers (such as OpenAI) to generate suggested replies or automations. You are responsible for reviewing AI-generated content before you publish or send it.
You must not use AI Features for unlawful profiling, to generate deceptive content, or to falsely represent AI-generated communications as purely human where that would be misleading.
We may log prompts, outputs, and usage metadata strictly to operate, secure, and troubleshoot the Service, subject to our Privacy Policy. We do not use Platform Data or Customer Content to train or fine-tune our own AI models or those of any third party.
7. Customer content and Feedback
You retain ownership of your Customer Content. You grant Wesend a non-exclusive right to process Customer Content as reasonably necessary to provide the Service. You are fully responsible for the legality and accuracy of your Customer Content, campaigns, and automated replies.
Feedback: If you submit feedback, feature requests, ideas or suggestions, Wesend may use them without restriction, attribution or payment to you.
8. Intellectual Property
Except for Customer Content, all intellectual property rights in the Service, including the software, source code, trademarks, logos, documentation, designs and related materials, are owned by Wesend or its licensors. These Terms do not grant you ownership of any intellectual property rights in the Service.
9. Acceptable use
You must not use the Service to:
- Send spam, unlawful content, malware, or deceptive messages.
- Violate any international, federal, or local regulations or laws.
- Infringe upon our intellectual property or the rights of others.
- Interfere with or disrupt the Service, or bypass technical controls.
10. Privacy, data protection and subprocessors
Our Privacy Policy forms an integral part of these Terms. Where we process personal data on your behalf, we act as a processor or service provider. We use Subprocessors to host and operate the Service, subject to strict data processing agreements.
11. Suspension, restriction and termination
We may suspend, limit, disable or terminate your access where reasonably necessary to address suspected fraud, spam, unlawful use, security concerns, Meta platform-policy violations, or material breach of these Terms. You may stop using the Service at any time by cancelling your subscription.
12. Service changes, availability and support
We may modify or discontinue features from time to time. The Service is provided on an "as-available" basis. Third-party platform outages (e.g., Instagram downtime) may affect availability.
13. Warranties, disclaimers and liability
Subject to providing the Service with reasonable care and skill, our Services are provided "as is" without warranties of uninterrupted or error-free operation. To the maximum extent allowed by law, Wesend is not liable for indirect or consequential losses, loss of profits, or loss of data.
For business customers, Wesend's aggregate liability in connection with the Service will not exceed the greater of the total fees paid by you in the 3 months before the claim, or GBP 100.
14. Miscellaneous
- Force Majeure: Wesend will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, internet outages, or third-party platform (e.g., Meta/Instagram) API failures.
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Wesend regarding the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Assignment: You may not assign these Terms without our prior written consent. Wesend may assign these Terms without restriction.
15. Governing law and complaints
These Terms are governed by the laws of England and Wales (unless mandatory consumer law dictates otherwise). Questions and legal notices should be sent to [email protected].
16. Regional Consumer Rights
UK & EU/EEA Consumers: If you are a consumer residing in the United Kingdom or the European Economic Area, you may have statutory rights, including rights relating to digital services and, where applicable, a right of withdrawal. Nothing in these Terms excludes, limits, or restricts any mandatory rights available to you under applicable consumer protection laws.
- US Consumers: Auto-renewing subscriptions and cancellation flows comply with applicable state laws. You may cancel your subscription at any time through your account dashboard.
